These Terms of Use apply to users of the platform.
1. Introduction
These Terms of Use govern the conditions for using the following websites: UpHill Simulate and UpHill Events (hereinafter referred to as the “Platforms”). These websites are accessible via any browser and are associated with the domains: sim.uphillhealth.com and up.events, as well as their respective subdomains.
By simply browsing, accessing, or interacting with the Platforms, including registration and contact by the user (“User”), especially to use the UpHill Simulate services (hereinafter “Simulate”) and participate in events managed through the UpHill Events application (hereinafter “Events”), which are owned by UpHill, S.A. (“UpHill”), the User agrees to these Terms of Use.
Acceptance of these Terms of Use
The User of the Simulate or Events services is subject to the following general terms of use (“Terms of Use”).

2. Description of Simulate and Events services (hereinafter the “Services”)
2.1. SIMULATE
Simulate is a service provided by UpHill to its clients, which include healthcare professionals, healthcare institutions, and/or educational institutions in the healthcare field (“Simulate Clients”), relating to the use of a software for analyzing clinical compliance metrics. The software is supported by a simulator with hypothetical and virtual, electronic, and predefined clinical records, for clinical practice training.
Simulate may also be used by participants in events organized and promoted by UpHill Clients on the UpHill Events platform under the terms of section 2.2 of these Terms of Use.

Simulate User Registration
Users of the Simulate Platform must register [here], providing their name, email, and password. If the User does not register, they will not be able to use Simulate services.
If a User or Participant wishes to change, update, or correct personal data provided on the Platform, they may do so [here].
Simulate Service Payment Users of Simulate services who are not participating in Events as mentioned above may make payments via the relevant UpHill pages. UpHill outsources payment management to external services. Currently accepted payment methods include: Multibanco Reference, MB Way, Debit Card, Credit Card, Bank Transfer, and Cash. Payment verification is the responsibility of the Clients.
2.2. EVENTS
The UpHill Events platform promotes various types of events, related to—but not limited to—medical topics (“Events”), organized and promoted primarily by healthcare or educational institutions, intended for participants selected and admitted by the event organizer and promoter (“Participants”).
The platform serves as a tool for managing Participant registration, payments, and attendance confirmation, available to UpHill Events clients (“Events Clients”). Through the platform, Events Clients can also issue participation certificates and send invoices to Participants.
Event registration depends on the participation requirements defined by the Events Clients. Some Events may be restricted to specific sectors of the medical community or workers from specific healthcare institutions or selected educational institutions. Information on each Event is available on the UpHill Events platform and is the sole responsibility of the Events Clients.
Event Organizer and Account Creation
Events are created and managed by Events Clients, also referred to as “Event Organizers”, by creating and administering an account on the Platform. Organizers may grant access to internal or external Participants interested in the Event.
To obtain a license to use the UpHill Events platform, Event Organizers must agree to the terms and conditions available [here].
Event Registration and Cancellation
Participants may register for Events published on the UpHill Events platform if they meet the participation requirements defined by the Events Client. To register, the Participant must sign up [here] with name, email, and password. Without registration, the Participant cannot register for or access Events. To update or correct personal information, Participants may do so [here].
Once registered, the Participant may enroll in and pay for selected Events, if applicable. Additional information may also be required depending on the Events Client’s requirements.

Participants may cancel their Event registration through the platform; if this is not possible, they must contact the Events Client. For refund requests, the Participant must also contact the Events Client.
Events Features
Once an Event account is created, Events Clients can use the Events services to manage their account, create and promote events with names, locations, dates, registration fees, schedules, and included activities. The service allows verification of Participant identity via a unique registration code or by searching for personal data provided during registration. It also enables communication between Participants and Clients via email.
The Events service provides a QR Code to Participants, which should be presented at the beginning of the Event, according to the Events Client’s requirements.
Through the Events service, the Client can issue participation certificates. Invoices for event registration payments are issued by the Events Client, provided the Participant has enabled the invoice functionality.
3. Use of Simulate and Events Software
The software used in the UpHill Platforms, and any materials related to it, are protected by UpHill’s copyright. Any use, reproduction, or redistribution of the software is prohibited unless explicitly authorized or contractually agreed upon with UpHill.
4. Use of Materials and Content Published on the Platforms
Copyright
All content related to the software and functionalities of the Platforms, including but not limited to text, graphics, and code, is protected by copyright or related rights and is the property of UpHill (“Content”).
Any use of the Content for purposes such as copying, printing, scraping, distributing, displaying, transmitting, or reproducing for commercial purposes is strictly prohibited unless prior written authorization is obtained from UpHill.
Content related to Events is authored and is the exclusive responsibility of Events Clients.
Information generated within Simulate is authored and is the exclusive responsibility of Simulate Clients and/or respective Users.
Industrial Property
All trademarks, logos, designs, and trade names used on the Platforms (including the UpHill name, logo, and brand) are the exclusive industrial property of UpHill.
5. Updates and Changes to Terms of Use and Content Inaccuracies
The Terms of Use may be updated, changed, or deleted at any time without prior notice.
Therefore, the User should review the current Terms of Use when using the Platforms, as they are binding. For comments or questions about the Terms, please contact UpHill via email at support@uphill.pt.
The content included in the Platforms may contain technical inaccuracies or typographical errors. UpHill is not liable for any such inaccuracies.
6. Confidentiality
Any User (including Simulate and Events Clients) may gain access, through the Platforms (for example, by contacting UpHill to clarify doubts), to certain confidential information, including, without limitation, technical information, contractual information, UpHill services, marketing, and other information that should reasonably be understood as confidential (“Confidential Information”).
The User may not disclose any Confidential Information for a period of five (5) years from the date of access. After using the Confidential Information, the User is prohibited from using such information and must return it to UpHill or destroy it. Likewise, the User is also prohibited from using the Confidential Information made available by UpHill under a contract or subscription to the Simulate and Events services after the termination of the contractual relationship established with the User.
This Confidentiality clause does not apply: (a) if the User already possesses the Confidential Information without the obligation to keep it confidential; (b) if the Confidential Information becomes generally known to the public and the User has no legal duty to keep the Confidential Information secret; (c) if the User independently developed similar information without using the Confidential Information; or (d) if the User is required to disclose the Confidential Information under the authority of a court or other competent authority or by legal requirement, in which case the User must immediately inform UpHill, sharing relevant documentation, if permitted by law, to enable UpHill to take appropriate measures.
7. Privacy Policy
The General Privacy Policy informs the User about the processing of their personal data collected through the Platforms: (i) at the time of registration on the said Platforms; (ii) in the context of contact with UpHill for clarification of doubts related to the Simulate and Events services; and (iii) within the scope of the use of Services provided by UpHill. 8. User Information
By using the Platforms, the User, including Simulate Client and Events Client, hereinafter collectively referred to as “Users”, agree to provide accurate and complete personal and institutional information necessary for their registration and will keep such information updated. Users are responsible for maintaining the confidentiality of their password and their username to access their account — in the case of Simulate and Events Clients — and in the case of other users, to register for Events and/or use Simulate. UpHill may delete the accounts or access rights of any Users, including Simulate and Events Clients, who have provided inaccurate or incomplete information during registration or who fail to comply with these terms.
9. Security Violations
Users may not access the Platforms or any content included therein to violate the security or integrity of any network, computer or communications system, software application, or computing device. Users also may not access or use the Platforms to make or attempt to make network connections with any other Users, hosts, or networks unless they are permitted to communicate with them. This includes, without limitation, service browsing attacks, system interference including any deliberate attempt to overload a system by excessive email sending, transmission attacks or flooding techniques, operating network services such as open proxies, open email servers, or open recursive domain name servers, and using manual or electronic means to circumvent any usage limitations placed on a system, such as access and storage restrictions. UpHill may report any suspected unlawful activity by Users to the competent authorities. UpHill may also cooperate with the competent authorities to assist in investigating and prosecuting illegal conduct, providing network and system information related to alleged violations of these Terms of Use.
10. Responsibility for Content and Information on the UpHill Events Platform
The content and information made available on the Platforms by the Events Client, Event Organizer, or any users admitted by them may not include offensive, indecent, threatening, privacy-invasive or publicity rights-invasive, abusive, illegal language, or otherwise contribute to an unlawful act or violate the rights of any person. UpHill assumes no responsibility for such content and/or information, particularly for content transmitted to Event Participants promoted on the Platforms by Events Clients. Any information published on the Platforms that UpHill has access to and that violates its own rights or the rights of third parties or is considered offensive will be removed by UpHill, and the account of the Event Organizer and/or the user admitted by them may, at UpHill’s discretion, be deleted or suspended.
11. Links to Third-Party Websites
UpHill assumes no responsibility for links and content of third-party websites made available on the Simulate and Events Platforms. If any User, regardless of their category or nature, decides to access any third-party websites made available on the Platforms that contain illicit or illegal content made available by those third parties, they do so entirely at their own sole responsibility and risk.
12. Limitation of Liability
TO THE EXTENT NOT OTHERWISE PROVIDED FOR IN APPLICABLE LAW, UNDER NO CIRCUMSTANCES SHALL UPHILL BE LIABLE FOR ANY DIRECT OR INDIRECT DAMAGES, INCLUDING, BUT NOT LIMITED TO, LOSS OF DATA, INABILITY TO USE THESE PLATFORMS AND/OR ANY WEBSITES LINKED TO THEM, OR LOSS OR INABILITY TO ACCESS ANY CONTENT OR INFORMATION MADE AVAILABLE ON THE UPHILL PLATFORMS, FOR REASONS NOT ATTRIBUTABLE TO UPHILL.
13. Governing Law and Jurisdiction
These Terms of Use are governed by Portuguese law, and the resolution of any dispute relating to them shall be submitted to the competent court of the district of Lisbon, with express waiver of any other jurisdiction.
